Experimental software. Use it with caution.
BlockPay is pre-release software running on a public blockchain. Its payment-channel contract has not been audited. Transactions are irreversible, and bugs, attacks, mistakes or lost keys can cause the permanent loss of all funds involved. Read the Risk Disclaimer before you use BlockPay, and only use amounts you can afford to lose.
01Acceptance of terms
By accessing or using the BlockPay website, documentation, software, smart contracts, hosted facilitator, management API or dashboard (together, the "Services"), you agree to these Terms of Use and to the Risk Disclaimer, which forms part of these terms. "BlockPay", "we" and "us" refer to the operators of the Services. "You" refers to you and to any organization you act for.
If you use the Services on behalf of an organization, you confirm that you are authorized to bind it to these terms. If you do not agree, do not use the Services.
02Eligibility
To use the Services you must:
- be at least 18 years old and able to form a binding contract;
- not be a person or entity subject to sanctions, or located, organized or resident in a country or territory subject to comprehensive sanctions;
- not be barred from using the Services under the laws that apply to you.
You are responsible for confirming that your use of the Services is lawful where you are.
03The services
BlockPay is payment infrastructure that implements the x402 protocol on the Sui blockchain. It consists of:
- Open-source software: SDKs, a reference facilitator and Move smart contracts, published under their own licenses (see section 9).
- The hosted facilitator: a service that verifies payments, broadcasts transactions, optionally sponsors gas, and redeems payment-channel vouchers.
- The dashboard and management API: tools for merchants to view payments, manage API keys, webhooks, receiving addresses and prepaid credit.
- This website and the documentation.
The Services are provided for technical purposes only. BlockPay does not sell, buy, exchange or hold digital assets for you, and does not act as your broker, agent, trustee or fiduciary.
04Non-custodial service
- BlockPay never takes custody of payer or merchant funds and never holds your private keys. Payments move on-chain directly from payers to recipients, or through smart contracts you choose to interact with.
- Because of this, BlockPay cannot reverse, cancel, refund, freeze or recover any transaction, and cannot restore access to a wallet or key you have lost.
- The only BlockPay-controlled balances are the facilitator's gas wallet, which pays network fees, and the treasury that receives prepaid-credit top-ups (section 7).
05Accounts and API keys
- Merchant accounts are created by signing in with a Sui wallet. Anyone who controls a wallet registered to your account can access and change it. Keep those wallets secure.
- API keys are shown once and stored only in hashed form. Keep them secret. You are responsible for all activity performed with your account and API keys, whether or not you authorized it.
- Revoke any key you believe has been exposed, and tell us promptly at hello@blockpay.gg about any unauthorized use.
06Your responsibilities
You are solely responsible for:
- generating, storing and backing up your private keys, seed phrases, channel keys and API keys;
- checking every address, amount, network, asset and price before you send or configure a payment;
- configuring spending caps, budgets and approvals for any software or AI agent that pays on your behalf, and for every payment those agents make;
- redeeming payment-channel vouchers you receive in time, and reconciling your records against the blockchain;
- the resources, content, data and services you sell through BlockPay, and your relationships with your own customers, including refunds, support and disputes;
- complying with all laws that apply to you, including licensing, consumer protection, sanctions, KYC/AML and tax obligations;
- keeping your integration, servers and dependencies secure and up to date.
07Fees and prepaid credit
- The hosted facilitator may charge a fee per settled payment, drawn from your prepaid credit. Current fees are shown in the dashboard. We may change fees with notice in the dashboard; changes apply to payments settled after they take effect.
- You top up credit by sending a supported stablecoin from one of your registered addresses to the treasury address shown in the dashboard, then submitting the transaction digest. Transfers from other addresses, in unsupported assets or on the wrong network may not be credited and may not be recoverable.
- Prepaid credit is a balance for paying BlockPay fees only. It is not money, a deposit or a stored-value product, carries no interest, cannot be transferred and, unless required by law or stated otherwise in writing, is non-refundable.
- When credit is insufficient, the facilitator may refuse new payments to your addresses. Your balance can briefly fall below zero for payments already in progress, and you agree to cover it.
- Network gas fees, where not sponsored, are paid to the Sui network and are not refundable.
08Prohibited uses
You must not use the Services to:
- violate any law, or facilitate money laundering, terrorist financing, sanctions evasion, fraud or other financial crime;
- sell or provide access to illegal goods, services or content, or content that infringes others' rights;
- attack, probe, overload or disrupt the Services, the Sui network or other users, including by abusing gas sponsorship, replaying payments or exploiting bugs;
- access accounts, keys or data that are not yours, or impersonate any person or organization;
- circumvent rate limits, fees, credit checks or other restrictions;
- reverse engineer the hosted Services, except where the open-source licenses or applicable law allow it.
If you discover a vulnerability, report it privately to hello@blockpay.gg and give us reasonable time to fix it before disclosing it. Do not exploit it.
09Open-source software
The BlockPay SDKs, reference facilitator and smart contracts are published at github.com/BlockPay402 under the Apache License 2.0 or another license stated in the repository. Your use of that software is governed by its license. Where the license conflicts with these terms, the license controls for that software. These terms govern the hosted Services, the website and the documentation.
Once deployed, smart contracts run autonomously on the Sui blockchain. BlockPay does not operate, control or guarantee them, and interacting with them is at your own risk.
10Availability and changes
- The Services are experimental and pre-release. We do not guarantee any level of availability, performance or support unless agreed in a separate signed agreement.
- We may add, change, limit, suspend or discontinue any part of the Services, including supported networks, assets, schemes and fees, at any time and without liability to you.
- Data shown in the dashboard and sent through the API or webhooks is provided for convenience and may be delayed, incomplete or inaccurate. The Sui blockchain is the authoritative record of payments.
11Third-party services
The Services rely on, and link to, things we do not control: the Sui network, wallets, RPC providers, stablecoin issuers, hosting providers, package registries and the x402 specification. We are not responsible for their availability, security, accuracy or actions, including any freezing of assets by a stablecoin issuer. Your use of them is governed by their own terms.
12Assumption of risk
You understand and accept the risks described in the Risk Disclaimer, including, among others:
- the total and permanent loss of funds through smart-contract bugs, software defects, attacks, mistakes or lost or stolen keys;
- that the payment-channel contract has not been audited;
- that blockchain transactions are irreversible;
- that payment-channel vouchers you receive are not payments until redeemed, and may never be redeemed;
- that AI agents and other software may make payments you did not intend;
- stablecoin de-pegging and issuer freezes, network outages, and changes in law.
You use the Services entirely at your own risk and are solely responsible for any losses that result.
13No warranties
The Services are provided "as is" and "as available", with all faults and without warranties of any kind, express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security or uninterrupted or error-free operation. BlockPay does not warrant that the Services, the smart contracts or any content are free of bugs, vulnerabilities, viruses or other harmful components, or that any defect will be corrected.
Some jurisdictions do not allow certain warranties to be excluded. In those jurisdictions, the exclusions above apply to the fullest extent permitted.
14Limitation of liability
To the maximum extent permitted by law, BlockPay, its operators, affiliates, contributors and their officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of funds, digital assets, profits, revenue, data, goodwill or business opportunity, arising out of or related to the Services, however caused, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total liability for all claims arising out of or related to the Services or these terms will not exceed the greater of (a) the platform fees you paid to BlockPay in the twelve months before the event giving rise to the claim, and (b) one hundred US dollars (USD 100).
These limits apply to every theory of liability, including contract, tort, negligence and strict liability, and survive termination. Nothing in these terms limits liability that cannot be limited by law.
15Indemnification
You agree to defend, indemnify and hold harmless BlockPay, its operators, affiliates and contributors from any claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising from your use of the Services, your integration, the resources you sell, your agents' payments, your violation of these terms or of any law, or your infringement of anyone's rights.
16Suspension and termination
- We may suspend or terminate your access to the hosted Services, revoke API keys or refuse payments at any time, including if we reasonably believe you have breached these terms, pose a security or legal risk, or if we are required to by law.
- You may stop using the Services at any time. Funds held in payment channels remain governed by the smart contract and can be withdrawn or redeemed under its rules, independently of BlockPay.
- Sections 4, 6, 7 (as to amounts owed), and 12 through 18 survive termination.
17Changes to these terms
We may update these terms from time to time. We will change the "Last updated" date above and, for material changes, give notice through the website or dashboard. Continuing to use the Services after the changes take effect means you accept them.
18General
- Entire agreement. These terms, the Risk Disclaimer and any separate written agreement with BlockPay are the entire agreement between you and us about the Services.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not transfer these terms without our consent. We may assign them in connection with a reorganization, merger or sale of the Services.
- Force majeure. We are not liable for failures caused by events beyond our reasonable control, including network failures, blockchain halts, attacks, and actions of governments or stablecoin issuers.
- Disputes. Before starting any formal proceeding, you agree to contact us and try to resolve the dispute informally for at least 30 days.
